These Terms apply to your use of the Platform on a self-serve basis (including via our website, dashboard, and API). If you have entered into a separate written agreement with Neuphonic governing your use of the Platform, that agreement will prevail in the event of any conflict.
Updates to these Terms.
We will publish the updated Terms on this page and update the “Last Updated” date. Where changes are material, we will take reasonable steps to notify you (for example, by email or through the Platform). Your continued use of the Platform after the updated Terms take effect constitutes your acceptance of those changes.
Accepting these Terms.
By accessing or using the Platform, you agree to be bound by these Terms, as well as our Privacy Policy and AUP. If we agree to any other additional terms, those terms may supersede these Terms. If you are one of our NeuPartner Program participants, you will be bound by separate terms of use. If you do not wish to be bound by these Terms, please do not use the Platform or the Services.
Scope of these Terms. We are Neuphonic (as defined below).
Together, You and Us are each, a “party”, and together, the “parties”. These Terms apply between You and Us as regards your access to and Use of our Platform.
Do these Terms apply to you?
These Terms of Service (the “Terms”) apply if you reside in the United Kingdom, Switzerland or the European Economic Area (“EEA”). If you reside elsewhere, including in the United States, our Non-EEA Terms will also apply to you. These are available below under the section entitled “Non-EEA Terms”. If you cannot access and understand the Non-EEA Terms, or these Terms generally, you should not use the Platform.
Global Users.
Generally, the Platform may be accessed from any country around the world and may contain references to content that is not available in your country. These references do not imply that we intend to announce the Platform in your country. The Platform (and any Services) is/are controlled and offered by Neuphonic from its offices and facilities in the United Kingdom.
We make no representations that the Platform is appropriate or available for use in other locations. Those who access or use the Platform from other countries do so at their own volition and are responsible for compliance with Applicable Laws.
Feedback & Questions.
For more information on any of the above, please contact general@neuphonic.com. Please refrain from including any sensitive information (e.g. payment details) via email. We welcome your feedback about these Terms, our AUP and Privacy Policy.
[1] Key Definitions.
“Applicable Laws” means the laws, rules, regulations, court orders, and other binding requirements of a relevant government authority that apply to the parties.
“Neuphonic”, “we”, “us” or “our” means Neuphonic Limited, a private company with limited liability incorporated in England and Wales under company number 15612532 with its registered office address at Office 3 Cottam House, 36-40 York Way, London N1 9AB, on behalf of itself and its affiliates and subsidiaries.
“Feedback” means suggestions, feedback, insights, ideas or comments about the Platform, the Services, or our Website.
“Intellectual Property Rights” means any and all registered and unregistered rights granted, applied for, pending, or otherwise now or hereafter in existence under or related to any copyright, patent, trademark, trade secret, or other intellectual property right(s), in any part of the world.
“Personal Data” has the meaning prescribed to it within any Applicable Laws.
“Platform” means each of the following:
(i) our proprietary text-to-speech synthesis platform; and,
(ii) our website, which is located at www.neuphonic.com and any and all associated web pages; and
(iii) our “Services” which includes our application programming interfaces (“API's”) and any products and services available to you via our platform and/or website.
Where applicable, references to the Services and the Website shall be deemed to refer to the Platform, and vice versa.
“Use” means signing up for, accessing, logging into, using the Platform (including if applicable the API), whether or not you are a free or subscribed user. Use also includes providing input and receiving output from our Platform, in any medium or form.
“You” and “your” means the user or customer using or otherwise accessing the Platform.
[2] Using the Platform.
You must comply with these terms and the Acceptable Use Policy (AUP) when you Use the Platform.
If you Use the Platform on behalf of a commercial business or company, you are responsible for your representatives' Use of the Platform and both your and their compliance with these Terms and our AUP.
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Platform.
Free users may only Use the Platform for non-commercial purposes. Paid users may Use the Platform for commercial purposes, as further set out in these Terms and the AUP. Whether you are an unpaid or paid user, you must still comply with these Terms and our AUP. We reserve the right to determine, acting reasonably, whether your use constitutes commercial use and to suspend or restrict access where you are in breach of this section.
If you have registered for an account to use the Platform, you must keep your account updated, keep your login details secure and comply with our AUP. You must contact us if you lose your account details or suspect unauthorised access to your account or any misuse of the Platform.
You must comply with all applicable laws when using the Platform, including export control and sanctions laws.
You must not use the Platform if you are located in, or a resident of, a country or territory subject to applicable sanctions (including those imposed by the United Kingdom, European Union, or United States), or if you are listed on any applicable sanctions list.
You must not use the Platform to impersonate any person or entity, or to generate or distribute content that is deceptive, fraudulent, or unlawful.
[3] Changes we may make to the Platform.
We may make the following changes to the Platform at any time (i.e. without giving you notice and an option to terminate):
To update the Platform (including without limited Services, the Website, the API's) as long as any updates do not affect the description of the Platform when you initially paid for your Use.
Where required, we may ask you to install some of these updates.
To incorporate changes in Applicable Laws and to make sure we comply with Applicable Laws.
To make small or immaterial technical changes or improvements to the Platform that do not materially affect your Use.
To address a security incident, provided this does not materially affect your Use.
We may make the following changes to the Platform only by giving you notice and an option to terminate:
If we plan to make any changes that materially adversely impact you, we will notify you in advance and you can then contact us to terminate your subscription before the change takes effect and receive a refund for any Services you have paid for in advance, but won't receive.
We may suspend your use of the Platform in accordance with our AUP, which is available on our website. If you breach any provision of these Terms or our AUP, any licences granted to you will terminate automatically.
We do not undertake to review the Platform including any content generated via your Use. We may however, as required by standard business conduct or Applicable Laws:
delete or remove content or refuse to post any content at any time and for a good faith reason (except as required under Applicable Laws), including for any violations of Applicable Laws, these Terms, or our AUP;
terminate or suspend your access to all or part of the Services, temporarily or permanently, if the Content is reasonably likely (based on objective factors), to violate applicable law or these Terms (we will confirm why we have terminated or suspended access and will reinstate access in the event that you provide valid reasons why our action was not justified);
take any action with respect to the content that is necessary or appropriate (in our reasonable discretion) to ensure compliance with Applicable Laws and these Terms, or to protect Neuphonic's rights, or to protect any third-party rights, including third-party intellectual property and privacy rights;
cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any content on or through the Platform, subject to Applicable Laws.
[4] Payment, Free Trials & Subscriptions.
Free Version.
The Platform includes a free version which is made available at no cost. We may, at our discretion, introduce paid features or subscription plans for additional functionality. We will update these Terms to include relevant information, including pricing, billing, and any applicable statutory rights (such as rights of withdrawal, depending on your jurisdiction), when such paid services are introduced.
Paid Users.
If you upgrade your account and become a paid user to access certain Platform functionality, you must:
Pay to Neuphonic all fees associated with your selected subscription tier, including any applicable usage-based charges (as specified at the time of purchase);
Provide complete and accurate payment and billing information, including a valid and authorised payment method; and
Remain solely responsible for payment of any applicable sales, use, VAT or other taxes or duties. All fees displayed on the Platform are exclusive of tax unless stated otherwise.
Payment Methods.
You authorise Neuphonic and our third-party payment processor to store your payment details and to automatically charge your designated payment method in accordance with your selected subscription plan, without further action from you.
Except as otherwise set out in these Terms or required by applicable law, all fees are non-refundable and payment obligations are non-cancellable and non-prorated.
If your payment method fails, we reserve the right to suspend or restrict access to your account upon prior notice and/or request updated payment details.
Cancelling your Subscription.
Your subscription will automatically renew unless cancelled. You may cancel at any time through your account dashboard or by contacting us.
Unless otherwise required by applicable law, cancellations will take effect at the end of the current billing period.
Right of Withdrawal (EEA Users).
If you are a resident of the European Economic Area, you have the legal right to withdraw from your purchase within 14 days of entering into the subscription agreement, without giving any reason.
To exercise this right, please contact us at general@neuphonic.com within 14 days of your purchase.
Changes to Pricing.
To the extent permitted by applicable law, we may update subscription pricing from time to time. We will provide at least thirty (30) days’ prior notice of any pricing changes.
If you do not agree to the updated pricing you may cancel your subscription before the changes take effect.
[5] Licences.
Limited Licence.
Subject to your compliance with these Terms, Neuphonic grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform. Any use of the Platform other than as expressly permitted by these Terms, without our prior written consent, is strictly prohibited and will result in termination of this licence.
Use Related Content.
You may provide input to the Platform (including, without limitation, text, prompts, or scripts) (“Input”) and receive output generated by the Platform (including, without limitation, audio recordings) (“Output”). Your use of any Input and Output is subject to these Terms and our Acceptable Use Policy.
You are solely responsible for your Input and for any use, publication, or distribution of Output. If you choose to make any Output publicly available, you do so at your own risk.
You are solely responsible for ensuring that you have all necessary rights, permissions, and consents to use any content, voice, or materials you input into or generate through the Platform. This includes ensuring that you have obtained any necessary consent or permission from individuals whose voice, likeness, or identity may be used or replicated through the Platform.
Rights in Inputs.
As between you and Neuphonic, you retain all rights, title, and interest in and to your Input, subject to the licence granted below.
Licence to Input.
You grant Neuphonic a non-exclusive, worldwide, royalty-free, fully paid-up licence, for the duration of your use of the Platform and as reasonably necessary thereafter, to use, reproduce, modify, and process your Input solely for the purposes of:
providing and operating the Platform and Services;
improving and developing the Platform and related technologies; and
complying with applicable law.
Rights in Output.
Subject to applicable law, and to the extent permitted, you own any Output generated for you by the Platform. However, you acknowledge that:
Output may not be unique; and
other users may receive similar or identical outputs.
Neuphonic does not guarantee that Output will be eligible for intellectual property protection.
We do not guarantee the storage, retention, or availability of any Inputs or Outputs, and you are responsible for retaining any content you wish to keep.
Licence to Output.
To the extent you own rights in the Output, you grant Neuphonic a non-exclusive, worldwide, royalty-free, fully paid-up licence, for the duration of your use of the Platform and as reasonably necessary thereafter, to use, reproduce, and process the Output solely for the purposes of:
providing the Platform and Services;
improving and developing the Platform and related technologies; and
complying with applicable law.
[6] Intellectual Property Rights.
Feedback.
You may voluntarily provide us with questions, comments, suggestions, ideas, or other feedback relating to the Platform or our business (“Feedback”).
You agree that Neuphonic is free to use, disclose, reproduce, modify, license, transfer, and otherwise exploit any Feedback for any purpose, including to develop and improve the Platform, without any obligation, restriction, or compensation to you.
To the extent you have any rights in such Feedback, you hereby assign to Neuphonic all right, title, and interest in and to the Feedback. Where such assignment is not permitted by applicable law, you grant Neuphonic a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable licence to use the Feedback for any purpose.
Ownership.
The Platform, including all content, features, functionality, and all associated intellectual property rights, are owned by Neuphonic or its licensors.
Except for the limited rights expressly granted to you under these Terms, no rights, title, or interest in or to the Platform are transferred to you, and all rights are reserved by Neuphonic and its licensors.
Trademarks.
“Neuphonic,” our logos, and any related product or service names, slogans, and the look and feel of the Platform are trademarks of Neuphonic and may not be used without our prior written permission.
All other trademarks, registered trademarks, product names, and company names or logos referenced on the Platform are the property of their respective owners and do not imply any endorsement, sponsorship, or affiliation with Neuphonic.
[7] Third Party Platforms, Content & Artificial Intelligence Platforms.
Third-Party Services.
The Platform may integrate with or rely on third-party platforms, services, or content (“Third-Party Services”). These Third-Party Services are not under our control and may impact the availability or functionality of the Platform.
We are not responsible for any Third-Party Services or your interactions with them. Your use of any Third-Party Services is subject to their own terms and privacy policies. We may modify, suspend, or remove access to any Third-Party Services at any time.
System Requirements.
You are responsible for obtaining and maintaining any hardware, software, network connectivity, and other services required to access and use the Platform.
AI Features.
The Platform may include artificial intelligence or machine learning features that generate content based on user inputs (“AI Features”).
You acknowledge that AI Features are evolving and experimental technologies and may produce inaccurate, incomplete, or unexpected results. You agree that any use of such outputs is at your own discretion and risk. You are solely responsible for your use of the Platform and any Output generated, including any decisions or actions taken based on such Output.
To the extent permitted by applicable law, Neuphonic disclaims liability for any loss or damage arising from your use of AI Features or reliance on their outputs.
Use of Data for Improvement.
Subject to our Privacy Policy and applicable law, you agree that we may use your Input, Output, and usage data to:
provide and operate the Platform;
improve and develop our products and services; and
train and enhance our machine learning models.
Where we use such data for improvement or training purposes, we will take commercially reasonable steps to aggregate and/or de-identify the data.
You may opt out of the use of your data for model training purposes by contacting us at general@neuphonic.com. This will not affect any processing that has already taken place prior to your request.
Nothing in this section limits our obligations under applicable data protection laws.
[8] Liability & Indemnification.
If you are using the Platform in the course of a business and have not entered into a separate written agreement with Neuphonic:
Limitation of Liability.
To the fullest extent permitted by applicable law, Neuphonic’s total aggregate liability to you arising out of or in connection with these Terms or your use of the Platform shall be limited to the greater of:
(a) £100 (one hundred British Pounds Sterling); or
(b) the total fees paid by you to Neuphonic in the twelve (12) months preceding the event giving rise to the claim.
Neuphonic shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenue, business, data, or goodwill, whether arising in contract, tort (including negligence), or otherwise, even if advised of the possibility of such damages.
Indemnity.
You agree to indemnify, defend (at Neuphonic’s option), and hold harmless Neuphonic and its officers, directors, employees, agents, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
your use of the Platform in breach of these Terms or applicable law;
any Input, Output, or Feedback you provide;
your infringement or misappropriation of any third-party rights (including intellectual property or privacy rights); or
your use of the Platform.
Neuphonic may assume control of the defence and settlement of any such claim, and you agree to cooperate with such defence.
If you are using the Platform as a consumer:
Limitation of Liability.
Nothing in these Terms excludes or limits our liability where it would be unlawful to do so, including liability for:
death or personal injury caused by negligence;
fraud or fraudulent misrepresentation; or
any other liability that cannot be excluded or limited under applicable law.
Subject to the above, Neuphonic is responsible for losses you suffer that are a foreseeable result of our breach of these Terms or failure to use reasonable care and skill.
We are not responsible for:
losses that were not foreseeable at the time you accepted these Terms;
losses not caused by our breach; or
any business-related losses (including loss of profits, revenue, contracts, data, or goodwill).
You agree to use the Platform in accordance with these Terms and applicable laws. You are responsible for any misuse of the Platform by you, including any content you submit or actions you take using the Platform.
[9] Disclaimers
If you are using the Platform in the course of a business and have not entered into a separate written agreement with Neuphonic:
The Platform, including any content generated through your use of the Platform and any Third-Party Services, is provided on an “as is” and “as available” basis.
To the fullest extent permitted by applicable law, Neuphonic disclaims all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Neuphonic does not warrant that:
the Platform or any output will be accurate, complete, reliable, or error-free;
the Platform will be uninterrupted, secure, or available at any particular time; or
the Platform will be compatible with your systems or any Third-Party Services.
You acknowledge that your use of the Platform and any output is at your sole risk, and that Neuphonic does not provide any guarantees regarding uptime, availability, or performance.
To the extent permitted by applicable law, Neuphonic is not responsible for any viruses or other harmful components that may affect your systems in connection with your use of the Platform.
All disclaimers in these Terms apply to the maximum extent permitted by applicable law and are for the benefit of Neuphonic and its affiliates, licensors, service providers, and their respective officers, employees, and agents.
If you are using the Platform as a consumer:
The Platform is provided using reasonable care and skill. However, due to the nature of software and internet services, we do not guarantee that the Platform will always be available, uninterrupted, or error-free.
You acknowledge that content generated through the Platform may be inaccurate or incomplete, and you should not rely on it without independent verification.
Nothing in this section affects your statutory rights.
General.
Some jurisdictions do not allow the exclusion of certain warranties. In such cases, the above exclusions apply only to the extent permitted by applicable law.
The Platform and any Output are provided for general informational and creative purposes only. You must not rely on any Output as a substitute for professional advice or as the sole basis for any decision. You are solely responsible for verifying the accuracy and appropriateness of any Output before relying on it.
We may monitor use of the Platform, including Inputs and Outputs, to detect, prevent, and investigate misuse, fraud, or violations of these Terms or our Acceptable Use Policy.
We do not guarantee that any Output will be unique or will not resemble the voice, style, or characteristics of any real person.
While we take reasonable steps to detect and prevent misuse of the Platform, we do not guarantee that all misuse or unlawful activity will be identified or prevented.
[10] Governing Law & Forum.
If you are using the Platform in the course of a business and have not entered into a separate written agreement with Neuphonic:
These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter shall be governed by the laws of England and Wales, without regard to conflict of laws principles.
The courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim, and you irrevocably submit to the jurisdiction of those courts.
If you are using the Platform as a consumer:
These Terms are governed by the laws of England and Wales. However, if you are resident outside England and Wales, you may also benefit from any mandatory provisions of the law of your country of residence.
You may bring legal proceedings in relation to these Terms either in the courts of England and Wales or in the courts of your country of residence.
[11] Users Outside the UK, Switzerland, and the EEA
If you are resident outside the United Kingdom, Switzerland, or the European Economic Area, you agree that any disputes arising out of or in connection with these Terms or your use of the Platform may, at Neuphonic’s option, be resolved by binding arbitration instead of in court.
Any such arbitration shall be conducted in English and seated in London, United Kingdom, under arbitration rules selected by Neuphonic acting reasonably, which will be provided to you in advance of any such arbitration.
Nothing in this section limits any rights you may have under applicable law.
[12] Miscellaneous.
Publicity Rights (Business Users Only).
If you are using the Platform in the course of a business, you grant Neuphonic a non-exclusive, worldwide, royalty-free licence, for the duration of your use of the Platform, to use your name, trademarks, and logo to identify you as a customer of Neuphonic on our website and in our marketing materials.
If you do not wish to be identified in this way, you may request removal by contacting us.
Intellectual Property Complaints.
If you believe that any content on the Platform infringes your intellectual property rights, please contact us at general@neuphonic.com with sufficient detail of the alleged infringement.
Severability & Waiver.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
A failure or delay by a party to exercise any right or enforce any provision of these Terms shall not constitute a waiver of that right or provision.
Survival.
Any provisions of these Terms which by their nature should survive termination shall continue in effect following termination, including (without limitation) provisions relating to liability, indemnity, and intellectual property.
Assignment.
We may assign or transfer our rights and obligations under these Terms. If you are a consumer, we will ensure that any such assignment does not adversely affect your rights under these Terms.
No Third-Party Rights.
These Terms do not confer any rights on any third party. The Contracts (Rights of Third Parties) Act 1999 does not apply.
Interpretation.
Headings are for convenience only and do not affect interpretation.
References to “including” or similar expressions shall be construed without limitation.
A defined term shall have the same meaning whether used in its capitalised or non-capitalised form.

If we plan to make any changes that materially adversely impact you, we will notify you in advance and you can then contact us to terminate your subscription before the change takes effect and receive a refund for any Services you have paid for in advance, but won't receive.
We may suspend your use of the Platform in accordance with our AUP, which is available on our website. If you breach any provision of these Terms or our AUP, any licences granted to you will terminate automatically.
We do not undertake to review the Platform including any content generated via your Use. We may however, as required by standard business conduct or Applicable Laws:
delete or remove content or refuse to post any content at any time and for a good faith reason (except as required under Applicable Laws), including for any violations of Applicable Laws, these Terms, or our AUP;
terminate or suspend your access to all or part of the Services, temporarily or permanently, if the Content is reasonably likely (based on objective factors), to violate applicable law or these Terms (we will confirm why we have terminated or suspended access and will reinstate access in the event that you provide valid reasons why our action was not justified);
take any action with respect to the content that is necessary or appropriate (in our reasonable discretion) to ensure compliance with Applicable Laws and these Terms, or to protect Neuphonic's rights, or to protect any third-party rights, including third-party intellectual property and privacy rights;
cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any content on or through the Platform, subject to Applicable Laws.
[4] Payment, Free Trials & Subscriptions.
Free Version.
The Platform includes a free version which is made available at no cost. We may, at our discretion, introduce paid features or subscription plans for additional functionality. We will update these Terms to include relevant information, including pricing, billing, and any applicable statutory rights (such as rights of withdrawal, depending on your jurisdiction), when such paid services are introduced.
Paid Users.
If you upgrade your account and become a paid user to access certain Platform functionality, you must:
Pay to Neuphonic all fees associated with your selected subscription tier, including any applicable usage-based charges (as specified at the time of purchase);
Provide complete and accurate payment and billing information, including a valid and authorised payment method; and
Remain solely responsible for payment of any applicable sales, use, VAT or other taxes or duties. All fees displayed on the Platform are exclusive of tax unless stated otherwise.
Payment Methods.
You authorise Neuphonic and our third-party payment processor to store your payment details and to automatically charge your designated payment method in accordance with your selected subscription plan, without further action from you.
Except as otherwise set out in these Terms or required by applicable law, all fees are non-refundable and payment obligations are non-cancellable and non-prorated.
If your payment method fails, we reserve the right to suspend or restrict access to your account upon prior notice and/or request updated payment details.
Cancelling your Subscription.
Your subscription will automatically renew unless cancelled. You may cancel at any time through your account dashboard or by contacting us.
Unless otherwise required by applicable law, cancellations will take effect at the end of the current billing period.
Right of Withdrawal (EEA Users).
If you are a resident of the European Economic Area, you have the legal right to withdraw from your purchase within 14 days of entering into the subscription agreement, without giving any reason.
To exercise this right, please contact us at general@neuphonic.com within 14 days of your purchase.
Changes to Pricing.
To the extent permitted by applicable law, we may update subscription pricing from time to time. We will provide at least thirty (30) days’ prior notice of any pricing changes.
If you do not agree to the updated pricing you may cancel your subscription before the changes take effect.
[5] Licences.
Limited Licence.
Subject to your compliance with these Terms, Neuphonic grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform. Any use of the Platform other than as expressly permitted by these Terms, without our prior written consent, is strictly prohibited and will result in termination of this licence.
Use Related Content.
You may provide input to the Platform (including, without limitation, text, prompts, or scripts) (“Input”) and receive output generated by the Platform (including, without limitation, audio recordings) (“Output”). Your use of any Input and Output is subject to these Terms and our Acceptable Use Policy.
You are solely responsible for your Input and for any use, publication, or distribution of Output. If you choose to make any Output publicly available, you do so at your own risk.
You are solely responsible for ensuring that you have all necessary rights, permissions, and consents to use any content, voice, or materials you input into or generate through the Platform. This includes ensuring that you have obtained any necessary consent or permission from individuals whose voice, likeness, or identity may be used or replicated through the Platform.
Rights in Inputs.
As between you and Neuphonic, you retain all rights, title, and interest in and to your Input, subject to the licence granted below.
Licence to Input.
You grant Neuphonic a non-exclusive, worldwide, royalty-free, fully paid-up licence, for the duration of your use of the Platform and as reasonably necessary thereafter, to use, reproduce, modify, and process your Input solely for the purposes of:
providing and operating the Platform and Services;
improving and developing the Platform and related technologies; and
complying with applicable law.
Rights in Output.
Subject to applicable law, and to the extent permitted, you own any Output generated for you by the Platform. However, you acknowledge that:
Output may not be unique; and
other users may receive similar or identical outputs.
Neuphonic does not guarantee that Output will be eligible for intellectual property protection.
We do not guarantee the storage, retention, or availability of any Inputs or Outputs, and you are responsible for retaining any content you wish to keep.
Licence to Output.
To the extent you own rights in the Output, you grant Neuphonic a non-exclusive, worldwide, royalty-free, fully paid-up licence, for the duration of your use of the Platform and as reasonably necessary thereafter, to use, reproduce, and process the Output solely for the purposes of:
providing the Platform and Services;
improving and developing the Platform and related technologies; and
complying with applicable law.
[6] Intellectual Property Rights.
Feedback.
You may voluntarily provide us with questions, comments, suggestions, ideas, or other feedback relating to the Platform or our business (“Feedback”).
You agree that Neuphonic is free to use, disclose, reproduce, modify, license, transfer, and otherwise exploit any Feedback for any purpose, including to develop and improve the Platform, without any obligation, restriction, or compensation to you.
To the extent you have any rights in such Feedback, you hereby assign to Neuphonic all right, title, and interest in and to the Feedback. Where such assignment is not permitted by applicable law, you grant Neuphonic a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable licence to use the Feedback for any purpose.
Ownership.
The Platform, including all content, features, functionality, and all associated intellectual property rights, are owned by Neuphonic or its licensors.
Except for the limited rights expressly granted to you under these Terms, no rights, title, or interest in or to the Platform are transferred to you, and all rights are reserved by Neuphonic and its licensors.
Trademarks.
“Neuphonic,” our logos, and any related product or service names, slogans, and the look and feel of the Platform are trademarks of Neuphonic and may not be used without our prior written permission.
All other trademarks, registered trademarks, product names, and company names or logos referenced on the Platform are the property of their respective owners and do not imply any endorsement, sponsorship, or affiliation with Neuphonic.
[7] Third Party Platforms, Content & Artificial Intelligence Platforms.
Third-Party Services.
The Platform may integrate with or rely on third-party platforms, services, or content (“Third-Party Services”). These Third-Party Services are not under our control and may impact the availability or functionality of the Platform.
We are not responsible for any Third-Party Services or your interactions with them. Your use of any Third-Party Services is subject to their own terms and privacy policies. We may modify, suspend, or remove access to any Third-Party Services at any time.
System Requirements.
You are responsible for obtaining and maintaining any hardware, software, network connectivity, and other services required to access and use the Platform.
AI Features.
The Platform may include artificial intelligence or machine learning features that generate content based on user inputs (“AI Features”).
You acknowledge that AI Features are evolving and experimental technologies and may produce inaccurate, incomplete, or unexpected results. You agree that any use of such outputs is at your own discretion and risk. You are solely responsible for your use of the Platform and any Output generated, including any decisions or actions taken based on such Output.
To the extent permitted by applicable law, Neuphonic disclaims liability for any loss or damage arising from your use of AI Features or reliance on their outputs.
Use of Data for Improvement.
Subject to our Privacy Policy and applicable law, you agree that we may use your Input, Output, and usage data to:
provide and operate the Platform;
improve and develop our products and services; and
train and enhance our machine learning models.
Where we use such data for improvement or training purposes, we will take commercially reasonable steps to aggregate and/or de-identify the data.
You may opt out of the use of your data for model training purposes by contacting us at general@neuphonic.com. This will not affect any processing that has already taken place prior to your request.
Nothing in this section limits our obligations under applicable data protection laws.
[8] Liability & Indemnification.
If you are using the Platform in the course of a business and have not entered into a separate written agreement with Neuphonic:
Limitation of Liability.
To the fullest extent permitted by applicable law, Neuphonic’s total aggregate liability to you arising out of or in connection with these Terms or your use of the Platform shall be limited to the greater of:
(a) £100 (one hundred British Pounds Sterling); or
(b) the total fees paid by you to Neuphonic in the twelve (12) months preceding the event giving rise to the claim.
Neuphonic shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenue, business, data, or goodwill, whether arising in contract, tort (including negligence), or otherwise, even if advised of the possibility of such damages.
Indemnity.
You agree to indemnify, defend (at Neuphonic’s option), and hold harmless Neuphonic and its officers, directors, employees, agents, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
your use of the Platform in breach of these Terms or applicable law;
any Input, Output, or Feedback you provide;
your infringement or misappropriation of any third-party rights (including intellectual property or privacy rights); or
your use of the Platform.
Neuphonic may assume control of the defence and settlement of any such claim, and you agree to cooperate with such defence.
If you are using the Platform as a consumer:
Limitation of Liability.
Nothing in these Terms excludes or limits our liability where it would be unlawful to do so, including liability for:
death or personal injury caused by negligence;
fraud or fraudulent misrepresentation; or
any other liability that cannot be excluded or limited under applicable law.
Subject to the above, Neuphonic is responsible for losses you suffer that are a foreseeable result of our breach of these Terms or failure to use reasonable care and skill.
We are not responsible for:
losses that were not foreseeable at the time you accepted these Terms;
losses not caused by our breach; or
any business-related losses (including loss of profits, revenue, contracts, data, or goodwill).
You agree to use the Platform in accordance with these Terms and applicable laws. You are responsible for any misuse of the Platform by you, including any content you submit or actions you take using the Platform.
[9] Disclaimers
If you are using the Platform in the course of a business and have not entered into a separate written agreement with Neuphonic:
The Platform, including any content generated through your use of the Platform and any Third-Party Services, is provided on an “as is” and “as available” basis.
To the fullest extent permitted by applicable law, Neuphonic disclaims all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Neuphonic does not warrant that:
the Platform or any output will be accurate, complete, reliable, or error-free;
the Platform will be uninterrupted, secure, or available at any particular time; or
the Platform will be compatible with your systems or any Third-Party Services.
You acknowledge that your use of the Platform and any output is at your sole risk, and that Neuphonic does not provide any guarantees regarding uptime, availability, or performance.
To the extent permitted by applicable law, Neuphonic is not responsible for any viruses or other harmful components that may affect your systems in connection with your use of the Platform.
All disclaimers in these Terms apply to the maximum extent permitted by applicable law and are for the benefit of Neuphonic and its affiliates, licensors, service providers, and their respective officers, employees, and agents.
If you are using the Platform as a consumer:
The Platform is provided using reasonable care and skill. However, due to the nature of software and internet services, we do not guarantee that the Platform will always be available, uninterrupted, or error-free.
You acknowledge that content generated through the Platform may be inaccurate or incomplete, and you should not rely on it without independent verification.
Nothing in this section affects your statutory rights.
General.
Some jurisdictions do not allow the exclusion of certain warranties. In such cases, the above exclusions apply only to the extent permitted by applicable law.
The Platform and any Output are provided for general informational and creative purposes only. You must not rely on any Output as a substitute for professional advice or as the sole basis for any decision. You are solely responsible for verifying the accuracy and appropriateness of any Output before relying on it.
We may monitor use of the Platform, including Inputs and Outputs, to detect, prevent, and investigate misuse, fraud, or violations of these Terms or our Acceptable Use Policy.
We do not guarantee that any Output will be unique or will not resemble the voice, style, or characteristics of any real person.
While we take reasonable steps to detect and prevent misuse of the Platform, we do not guarantee that all misuse or unlawful activity will be identified or prevented.
[10] Governing Law & Forum.
If you are using the Platform in the course of a business and have not entered into a separate written agreement with Neuphonic:
These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter shall be governed by the laws of England and Wales, without regard to conflict of laws principles.
The courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim, and you irrevocably submit to the jurisdiction of those courts.
If you are using the Platform as a consumer:
These Terms are governed by the laws of England and Wales. However, if you are resident outside England and Wales, you may also benefit from any mandatory provisions of the law of your country of residence.
You may bring legal proceedings in relation to these Terms either in the courts of England and Wales or in the courts of your country of residence.
[11] Users Outside the UK, Switzerland, and the EEA
If you are resident outside the United Kingdom, Switzerland, or the European Economic Area, you agree that any disputes arising out of or in connection with these Terms or your use of the Platform may, at Neuphonic’s option, be resolved by binding arbitration instead of in court.
Any such arbitration shall be conducted in English and seated in London, United Kingdom, under arbitration rules selected by Neuphonic acting reasonably, which will be provided to you in advance of any such arbitration.
Nothing in this section limits any rights you may have under applicable law.
[12] Miscellaneous.
Publicity Rights (Business Users Only).
If you are using the Platform in the course of a business, you grant Neuphonic a non-exclusive, worldwide, royalty-free licence, for the duration of your use of the Platform, to use your name, trademarks, and logo to identify you as a customer of Neuphonic on our website and in our marketing materials.
If you do not wish to be identified in this way, you may request removal by contacting us.
Intellectual Property Complaints.
If you believe that any content on the Platform infringes your intellectual property rights, please contact us at general@neuphonic.com with sufficient detail of the alleged infringement.
Severability & Waiver.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
A failure or delay by a party to exercise any right or enforce any provision of these Terms shall not constitute a waiver of that right or provision.
Survival.
Any provisions of these Terms which by their nature should survive termination shall continue in effect following termination, including (without limitation) provisions relating to liability, indemnity, and intellectual property.
Assignment.
We may assign or transfer our rights and obligations under these Terms. If you are a consumer, we will ensure that any such assignment does not adversely affect your rights under these Terms.
No Third-Party Rights.
These Terms do not confer any rights on any third party. The Contracts (Rights of Third Parties) Act 1999 does not apply.
Interpretation.
Headings are for convenience only and do not affect interpretation.
References to “including” or similar expressions shall be construed without limitation.

These Terms apply to your use of the Platform on a self-serve basis (including via our website, dashboard, and API). If you have entered into a separate written agreement with Neuphonic governing your use of the Platform, that agreement will prevail in the event of any conflict.

We will publish the updated Terms on this page and update the “Last Updated” date. Where changes are material, we will take reasonable steps to notify you (for example, by email or through the Platform). Your continued use of the Platform after the updated Terms take effect constitutes your acceptance of those changes.
Accepting these Terms.
By accessing or using the Platform, you agree to be bound by these Terms, as well as our Privacy Policy and AUP. If we agree to any other additional terms, those terms may supersede these Terms. If you are one of our NeuPartner Program participants, you will be bound by separate terms of use. If you do not wish to be bound by these Terms, please do not use the Platform or the Services.
Scope of these Terms. We are Neuphonic (as defined below).
Together, You and Us are each, a “party”, and together, the “parties”. These Terms apply between You and Us as regards your access to and Use of our Platform.
Do these Terms apply to you?
These Terms of Service (the “Terms”) apply if you reside in the United Kingdom, Switzerland or the European Economic Area (“EEA”). If you reside elsewhere, including in the United States, our Non-EEA Terms will also apply to you. These are available below under the section entitled “Non-EEA Terms”. If you cannot access and understand the Non-EEA Terms, or these Terms generally, you should not use the Platform.
Global Users.
Generally, the Platform may be accessed from any country around the world and may contain references to content that is not available in your country. These references do not imply that we intend to announce the Platform in your country. The Platform (and any Services) is/are controlled and offered by Neuphonic from its offices and facilities in the United Kingdom.
We make no representations that the Platform is appropriate or available for use in other locations. Those who access or use the Platform from other countries do so at their own volition and are responsible for compliance with Applicable Laws.

[1] Key Definitions.
“Applicable Laws” means the laws, rules, regulations, court orders, and other binding requirements of a relevant government authority that apply to the parties.
“Neuphonic”, “we”, “us” or “our” means Neuphonic Limited, a private company with limited liability incorporated in England and Wales under company number 15612532 with its registered office address at Office 3 Cottam House, 36-40 York Way, London N1 9AB, on behalf of itself and its affiliates and subsidiaries.
“Feedback” means suggestions, feedback, insights, ideas or comments about the Platform, the Services, or our Website.
“Intellectual Property Rights” means any and all registered and unregistered rights granted, applied for, pending, or otherwise now or hereafter in existence under or related to any copyright, patent, trademark, trade secret, or other intellectual property right(s), in any part of the world.
“Personal Data” has the meaning prescribed to it within any Applicable Laws.
“Platform” means each of the following:
(i) our proprietary text-to-speech synthesis platform; and,
(ii) our website, which is located at www.neuphonic.com and any and all associated web pages; and
(iii) our “Services” which includes our application programming interfaces (“API's”) and any products and services available to you via our platform and/or website.
Where applicable, references to the Services and the Website shall be deemed to refer to the Platform, and vice versa.
“Use” means signing up for, accessing, logging into, using the Platform (including if applicable the API), whether or not you are a free or subscribed user. Use also includes providing input and receiving output from our Platform, in any medium or form.
“You” and “your” means the user or customer using or otherwise accessing the Platform.
[2] Using the Platform.
You must comply with these terms and the Acceptable Use Policy (AUP) when you Use the Platform.
If you Use the Platform on behalf of a commercial business or company, you are responsible for your representatives' Use of the Platform and both your and their compliance with these Terms and our AUP.
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Platform.
Free users may only Use the Platform for non-commercial purposes. Paid users may Use the Platform for commercial purposes, as further set out in these Terms and the AUP. Whether you are an unpaid or paid user, you must still comply with these Terms and our AUP. We reserve the right to determine, acting reasonably, whether your use constitutes commercial use and to suspend or restrict access where you are in breach of this section.
If you have registered for an account to use the Platform, you must keep your account updated, keep your login details secure and comply with our AUP. You must contact us if you lose your account details or suspect unauthorised access to your account or any misuse of the Platform.
You must comply with all applicable laws when using the Platform, including export control and sanctions laws.
You must not use the Platform if you are located in, or a resident of, a country or territory subject to applicable sanctions (including those imposed by the United Kingdom, European Union, or United States), or if you are listed on any applicable sanctions list.
You must not use the Platform to impersonate any person or entity, or to generate or distribute content that is deceptive, fraudulent, or unlawful.

You grant Neuphonic a non-exclusive, worldwide, royalty-free, fully paid-up licence, for the duration of your use of the Platform and as reasonably necessary thereafter, to use, reproduce, modify, and process your Input solely for the purposes of:
providing and operating the Platform and Services;
improving and developing the Platform and related technologies; and
complying with applicable law.
Rights in Output.
Subject to applicable law, and to the extent permitted, you own any Output generated for you by the Platform. However, you acknowledge that:
Output may not be unique; and
other users may receive similar or identical outputs.
Neuphonic does not guarantee that Output will be eligible for intellectual property protection.
We do not guarantee the storage, retention, or availability of any Inputs or Outputs, and you are responsible for retaining any content you wish to keep.
Licence to Output.
To the extent you own rights in the Output, you grant Neuphonic a non-exclusive, worldwide, royalty-free, fully paid-up licence, for the duration of your use of the Platform and as reasonably necessary thereafter, to use, reproduce, and process the Output solely for the purposes of:
providing the Platform and Services;
improving and developing the Platform and related technologies; and
complying with applicable law.
[6] Intellectual Property Rights.
Feedback.
You may voluntarily provide us with questions, comments, suggestions, ideas, or other feedback relating to the Platform or our business (“Feedback”).
You agree that Neuphonic is free to use, disclose, reproduce, modify, license, transfer, and otherwise exploit any Feedback for any purpose, including to develop and improve the Platform, without any obligation, restriction, or compensation to you.
To the extent you have any rights in such Feedback, you hereby assign to Neuphonic all right, title, and interest in and to the Feedback. Where such assignment is not permitted by applicable law, you grant Neuphonic a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable licence to use the Feedback for any purpose.
Ownership.
The Platform, including all content, features, functionality, and all associated intellectual property rights, are owned by Neuphonic or its licensors.
Except for the limited rights expressly granted to you under these Terms, no rights, title, or interest in or to the Platform are transferred to you, and all rights are reserved by Neuphonic and its licensors.
Trademarks.
“Neuphonic,” our logos, and any related product or service names, slogans, and the look and feel of the Platform are trademarks of Neuphonic and may not be used without our prior written permission.
All other trademarks, registered trademarks, product names, and company names or logos referenced on the Platform are the property of their respective owners and do not imply any endorsement, sponsorship, or affiliation with Neuphonic.
[7] Third Party Platforms, Content & Artificial Intelligence Platforms.
Third-Party Services.
The Platform may integrate with or rely on third-party platforms, services, or content (“Third-Party Services”). These Third-Party Services are not under our control and may impact the availability or functionality of the Platform.
We are not responsible for any Third-Party Services or your interactions with them. Your use of any Third-Party Services is subject to their own terms and privacy policies. We may modify, suspend, or remove access to any Third-Party Services at any time.
System Requirements.
You are responsible for obtaining and maintaining any hardware, software, network connectivity, and other services required to access and use the Platform.
AI Features.
The Platform may include artificial intelligence or machine learning features that generate content based on user inputs (“AI Features”).
You acknowledge that AI Features are evolving and experimental technologies and may produce inaccurate, incomplete, or unexpected results. You agree that any use of such outputs is at your own discretion and risk. You are solely responsible for your use of the Platform and any Output generated, including any decisions or actions taken based on such Output.
To the extent permitted by applicable law, Neuphonic disclaims liability for any loss or damage arising from your use of AI Features or reliance on their outputs.
Use of Data for Improvement.
Subject to our Privacy Policy and applicable law, you agree that we may use your Input, Output, and usage data to:
provide and operate the Platform;
improve and develop our products and services; and
train and enhance our machine learning models.
Where we use such data for improvement or training purposes, we will take commercially reasonable steps to aggregate and/or de-identify the data.
You may opt out of the use of your data for model training purposes by contacting us at general@neuphonic.com. This will not affect any processing that has already taken place prior to your request.
Nothing in this section limits our obligations under applicable data protection laws.
[8] Liability & Indemnification.
If you are using the Platform in the course of a business and have not entered into a separate written agreement with Neuphonic:
Limitation of Liability.
To the fullest extent permitted by applicable law, Neuphonic’s total aggregate liability to you arising out of or in connection with these Terms or your use of the Platform shall be limited to the greater of:
(a) £100 (one hundred British Pounds Sterling); or
(b) the total fees paid by you to Neuphonic in the twelve (12) months preceding the event giving rise to the claim.
Neuphonic shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenue, business, data, or goodwill, whether arising in contract, tort (including negligence), or otherwise, even if advised of the possibility of such damages.
Indemnity.
You agree to indemnify, defend (at Neuphonic’s option), and hold harmless Neuphonic and its officers, directors, employees, agents, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
your use of the Platform in breach of these Terms or applicable law;
any Input, Output, or Feedback you provide;
your infringement or misappropriation of any third-party rights (including intellectual property or privacy rights); or
your use of the Platform.
Neuphonic may assume control of the defence and settlement of any such claim, and you agree to cooperate with such defence.
If you are using the Platform as a consumer:
Limitation of Liability.
Nothing in these Terms excludes or limits our liability where it would be unlawful to do so, including liability for:
death or personal injury caused by negligence;
fraud or fraudulent misrepresentation; or
any other liability that cannot be excluded or limited under applicable law.
Subject to the above, Neuphonic is responsible for losses you suffer that are a foreseeable result of our breach of these Terms or failure to use reasonable care and skill.
We are not responsible for:
losses that were not foreseeable at the time you accepted these Terms;
losses not caused by our breach; or
any business-related losses (including loss of profits, revenue, contracts, data, or goodwill).
You agree to use the Platform in accordance with these Terms and applicable laws. You are responsible for any misuse of the Platform by you, including any content you submit or actions you take using the Platform.
[9] Disclaimers
If you are using the Platform in the course of a business and have not entered into a separate written agreement with Neuphonic:
The Platform, including any content generated through your use of the Platform and any Third-Party Services, is provided on an “as is” and “as available” basis.
To the fullest extent permitted by applicable law, Neuphonic disclaims all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Neuphonic does not warrant that:
the Platform or any output will be accurate, complete, reliable, or error-free;
the Platform will be uninterrupted, secure, or available at any particular time; or
the Platform will be compatible with your systems or any Third-Party Services.
You acknowledge that your use of the Platform and any output is at your sole risk, and that Neuphonic does not provide any guarantees regarding uptime, availability, or performance.
To the extent permitted by applicable law, Neuphonic is not responsible for any viruses or other harmful components that may affect your systems in connection with your use of the Platform.
All disclaimers in these Terms apply to the maximum extent permitted by applicable law and are for the benefit of Neuphonic and its affiliates, licensors, service providers, and their respective officers, employees, and agents.
If you are using the Platform as a consumer:
The Platform is provided using reasonable care and skill. However, due to the nature of software and internet services, we do not guarantee that the Platform will always be available, uninterrupted, or error-free.
You acknowledge that content generated through the Platform may be inaccurate or incomplete, and you should not rely on it without independent verification.
Nothing in this section affects your statutory rights.
General.
Some jurisdictions do not allow the exclusion of certain warranties. In such cases, the above exclusions apply only to the extent permitted by applicable law.
The Platform and any Output are provided for general informational and creative purposes only. You must not rely on any Output as a substitute for professional advice or as the sole basis for any decision. You are solely responsible for verifying the accuracy and appropriateness of any Output before relying on it.
We may monitor use of the Platform, including Inputs and Outputs, to detect, prevent, and investigate misuse, fraud, or violations of these Terms or our Acceptable Use Policy.
We do not guarantee that any Output will be unique or will not resemble the voice, style, or characteristics of any real person.
While we take reasonable steps to detect and prevent misuse of the Platform, we do not guarantee that all misuse or unlawful activity will be identified or prevented.
[10] Governing Law & Forum.
If you are using the Platform in the course of a business and have not entered into a separate written agreement with Neuphonic:
These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter shall be governed by the laws of England and Wales, without regard to conflict of laws principles.
The courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim, and you irrevocably submit to the jurisdiction of those courts.
If you are using the Platform as a consumer:
These Terms are governed by the laws of England and Wales. However, if you are resident outside England and Wales, you may also benefit from any mandatory provisions of the law of your country of residence.
You may bring legal proceedings in relation to these Terms either in the courts of England and Wales or in the courts of your country of residence.
[11] Users Outside the UK, Switzerland, and the EEA
If you are resident outside the United Kingdom, Switzerland, or the European Economic Area, you agree that any disputes arising out of or in connection with these Terms or your use of the Platform may, at Neuphonic’s option, be resolved by binding arbitration instead of in court.
Any such arbitration shall be conducted in English and seated in London, United Kingdom, under arbitration rules selected by Neuphonic acting reasonably, which will be provided to you in advance of any such arbitration.
Nothing in this section limits any rights you may have under applicable law.
[12] Miscellaneous.
Publicity Rights (Business Users Only).
If you are using the Platform in the course of a business, you grant Neuphonic a non-exclusive, worldwide, royalty-free licence, for the duration of your use of the Platform, to use your name, trademarks, and logo to identify you as a customer of Neuphonic on our website and in our marketing materials.
If you do not wish to be identified in this way, you may request removal by contacting us.
Intellectual Property Complaints.
If you believe that any content on the Platform infringes your intellectual property rights, please contact us at general@neuphonic.com with sufficient detail of the alleged infringement.
Severability & Waiver.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
A failure or delay by a party to exercise any right or enforce any provision of these Terms shall not constitute a waiver of that right or provision.
Survival.
Any provisions of these Terms which by their nature should survive termination shall continue in effect following termination, including (without limitation) provisions relating to liability, indemnity, and intellectual property.
Assignment.
We may assign or transfer our rights and obligations under these Terms. If you are a consumer, we will ensure that any such assignment does not adversely affect your rights under these Terms.
No Third-Party Rights.
These Terms do not confer any rights on any third party. The Contracts (Rights of Third Parties) Act 1999 does not apply.
Interpretation.
Headings are for convenience only and do not affect interpretation.
References to “including” or similar expressions shall be construed without limitation.
A defined term shall have the same meaning whether used in its capitalised or non-capitalised form.
